1. Definitions
- "Software" means the source code, object code, documentation, and other files in this repository.
- "TLU" means Tech Link Up Non Profit and its duly authorized employees, officers, volunteers, and contractors acting for TLU.
- "Authorized Users" means individuals or entities expressly authorized in writing by TLU to exercise rights under this License beyond those granted to the public.
2. License Grant to TLU
Subject to the terms below, TLU is hereby granted a worldwide, royalty-free, non-transferable, perpetual license to use, reproduce, modify, create derivative works of, perform, display, and deploy the Software for TLU's non-profit operations and mission.
3. Limited Rights for Third Parties (Non-TLU)
Except as expressly permitted in this Section 3, no rights are granted to third parties.
- View & Evaluation: Any person may read and locally evaluate the Software for non-commercial, non-production purposes.
- Contributions: Third parties may submit contributions (e.g., pull requests). By submitting a contribution, the contributor represents that they have the right to do so and grants the copyright holders and TLU a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, create derivative works of, publicly display, publicly perform, and distribute such contributions as part of or alongside the Software.
- Other Use: Any other use (including but not limited to commercial use, production deployment, redistribution, sublicensing, hosting as a service, offering for sale, or creating and distributing derivative works) requires prior written permission from TLU.
4. Restrictions (IP Exposure Limitation)
- No Redistribution: Third parties may not publish, distribute, sublicense, or otherwise transfer the Software or any substantial portion thereof, except with TLU's prior written permission.
- No Derivative Distribution: Third parties may not distribute derivative works of the Software without TLU's prior written permission.
- Notice Preservation: You must not remove, alter, or obscure copyright, attribution, or license notices in the Software.
- No Trademark Rights: This License does not grant any rights to use TLU's name, logos, or trademarks.
- No Patent License (Third Parties): Except for TLU, no patent rights are granted under this License.
5. Ownership
Except for the rights expressly granted herein, all right, title, and interest in and to the Software are retained by the copyright holders and TLU. No implied licenses are granted.
6. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COPYRIGHT HOLDERS, TLU, OR THEIR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THIS LICENSE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AGGREGATE LIABILITY OF THE COPYRIGHT HOLDERS, TLU, AND THEIR CONTRIBUTORS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
8. Termination
This License terminates automatically if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control. Sections 4–11 survive termination.
9. Governing Law; Venue
This License shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Venue for any dispute shall lie exclusively in the state or federal courts located in Orange County, California.
10. Severability
If any provision of this License is held unenforceable, that provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
11. Entire Agreement; Changes
This License constitutes the entire agreement concerning its subject matter. It may be amended only by a written instrument signed by the copyright holders (on behalf of TLU). TLU may grant additional written permissions on a case-by-case basis.
